                              ORDER

SUMMARY

In this order we are granting Nippon Cargo Airlines Company, Ltd.
(NCA), Japan Air Lines Company, Ltd. (JAL), and All Nippon Airways
Co., Ltd. (ANA), foreign carriers of Japan, exemptions from
section 402 of the Act to conduct various services between the
United States and Japan, through October 28, 1991. The authority
we are granting here is encompassed in a 1989 Memorandum of
Understanding between the United States and Japan.
We are also confirming earlier oral actions we took on the all-
cargo applications of NCA and JAL.

BACKGROUND

NCA, JAL and ANA have sought a variety of all-cargo and
combination service authorizations based on rights derived from
the 1989 U.S.-Japan MOU. Specifically, NCA seeks exemptions to
