                WOMEN'S BAR ASSOCIATION OF THE DISTRICT OF COLUMBIA

                                          Board of Directors

                                          October 17, 1995


Present at the meeting were: Cory Amron, Ellen Berick, Jean Bower, Saundra Brown, Elizabeth Cullen, Barbara
Douglas, Nancy Long, Elaine Lubin (guest), Martha McQuade (President), Lora Pollari-Welbes (Executive
Director), Diana Savit, Lalla Shishkevish.

I.      Minutes of September 17, 1995

The Board approved the September minutes and the minutes from the September Executive Session as
amended.

II.     Executive Committee Report

Martha reported that the committee had taken no new actions.

i.      Treasurer's Report

The Board reviewed the four-month budget performance report prepared by Barbara Grewe. Martha inquired
about the $261 payment from the WBA Foundation; Lora agreed to check. Martha also noted that the newsletter
did not run a deficit last year (totaling a cost of $12,000). Lora indicated that the report does not show deferred
revenue of $7,000 from last year. Lora noted that the report contains a typo on p.2 regarding the amount
received from the elections; it is the amount budgeted but not yet received.

IV.     Executive Director's Report

A.      Membership. Lora reported that total revenue from revenue for this year equals $94,136 (compared
        with last year's total of $91, 677). Martha renewed her request that board members telephone the
        members who have not yet renewed as soon as possible.

B.      Lawyers-at-Home. Lora reported that 122 people receiving the newsletter are members; 27 are not.

C.      Senior Attorneys. Eighty-one people pay the special fee to participate.

D.      New Members. Board approved 31 new members and approved retroactive membership for four
        individuals whose names were not included in the list for September.

E.      Audit. Lora reported that the audit is now complete, but said that the auditor had recommended closer
        monitoring of WBA's accountant. Martha asked Lora for recommendations on how to monitor the
        accountant better. Lalla suggested that a WBA member may be able to assist with the year-end report.

V.      Old Business

A.      D.C. Bar Mid-winter Convention. Martha reported that WBA met the deadline for proposing topics,
        suggesting both the topics of the political process and various computer-related issues. Nancy Long will
        get Martha the name of a possible speaker she knows on the computer issues. Ellen noted that Lisa
