PRINCIPLES OF THE LAW OF CORPORATE

                                   GOVERNANCE

                                     PART I. DEFINITIONS

  § 1.23 Interested

Neb.2015. Cit. in ftn. Condominium-unit owner filed a putative derivative action on behalf of
condominium association against association and owner that won a bid for the purchase of the
condominium's limited common elements, alleging that the sale of the limited common elements was
invalid. The trial court entered judgment for plaintiff. Affirming in part, this court held that plaintiff had
standing to bring a derivative proceeding. Citing Principles of the Law of Corporate Governance § 1.23
for the definition of an interested director or officer, the court rejected defendants' argument that the
business-judgment rule prevented the court from conducting an inquiry into the association's decision,
and explained that the majority of the votes were not from disinterested members. McGill v. Lion Place
  Condominium Association, 291 Neb. 70, 84, 864 N.W.2d 642, 654.
